These Terms & Conditions ("Terms") govern your access to and use of the doorsplit.app website, applications, and related services (collectively, the "Service") operated by DoorSplit ("DoorSplit," "we," "us," or "our"). By creating an account, purchasing a ticket, making a donation, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Please also review our Privacy Policy, which explains how we handle your information and is incorporated into these Terms by reference.
1. What DoorSplit Is
DoorSplit is a technology platform that helps event organizers sell tickets, collect donations, manage entry at the door, and split and receive payouts of the proceeds. Payments are processed by Stripe, Inc.
DoorSplit is a neutral platform and facilitator — not the organizer, producer, promoter, or seller of any event, ticket, product, or campaign listed on the Service. Event organizers are solely responsible for their events and offerings, including the accuracy of listings, pricing, the performance and delivery of the event, any goods or services sold, entry and refund policies, tax obligations, permits and licenses, and compliance with all applicable laws. DoorSplit does not endorse, verify, or guarantee any event, organizer, or listing.
2. Accounts & Eligibility
- You must be at least 18 years old (or the age of majority in your jurisdiction) to create an organizer account.
- You are responsible for the activity that occurs under your account and for keeping your login credentials secure.
- You agree to provide accurate, current, and complete information and to keep it up to date.
3. Permitted Use
DoorSplit is intended for organizing and selling access to legitimate live and community events, and for good-faith donation initiatives. Permitted uses include, for example:
- Music shows, concerts, and live performances
- Performing arts, theater, comedy, and film screenings
- City, community, and neighborhood events
- Cultural, educational, and networking events
- Festivals, markets, pop-ups, and workshops
- Fundraising and donation-related initiatives for organizations, causes, and community projects
By using the Service, organizers represent that their use falls within these categories or a materially similar, lawful purpose. If you are unsure whether your use is permitted, contact us before listing.
4. Prohibited Use
You may not use the Service for any unlawful, harmful, fraudulent, or abusive purpose. We do not condone and expressly prohibit, without limitation:
- Fraud, deception, or misrepresentation of any kind — including listing events, tickets, or campaigns you do not intend to honor, cannot deliver, or have no rights to sell.
- Money laundering, financing of illegal activity, or circumventing payment, tax, or sanctions requirements.
- Selling illegal goods or services, counterfeit items, or anything you are not authorized to sell.
- Events or content that are illegal, or that promote violence, hate, harassment, discrimination, or harm to others.
- Infringing the intellectual property, privacy, or other rights of any third party.
- Collecting donations under false pretenses or misusing funds raised through the Service.
- Abusing, disrupting, reverse-engineering, or attempting to gain unauthorized access to the Service or its users.
We may refuse, remove, suspend, or terminate any account, event, listing, or campaign, and may withhold or reverse payouts, at our discretion where we reasonably believe these Terms have been violated or to comply with law or the requirements of our payment providers.
5. Payments, Payouts & Refunds
- Payments are processed by Stripe and are subject to Stripe's terms. Funds from card sales are held and become available for payout after they settle with the payment network (typically a couple of business days), and bank arrival further depends on each recipient's payout schedule.
- DoorSplit facilitates the collection and distribution of funds but is not a party to the underlying transaction between a buyer or donor and an organizer.
- Refunds, exchanges, chargebacks, and event cancellations are the responsibility of the organizer under their stated policies and applicable law. DoorSplit is not responsible for issuing refunds for an organizer's event and does not guarantee any organizer's performance.
- Organizers are responsible for any taxes, fees, or reporting obligations arising from their events and payouts.
6. Buyers & Donors
When you purchase a ticket or make a donation, your agreement for the event or cause is with the organizer, not DoorSplit. You are responsible for reviewing the organizer's listing, policies, and any terms before purchasing. Questions about an event, entry, a refund, or how donations are used should be directed to the organizer.
7. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. DoorSplit does not warrant that the Service will be uninterrupted, error-free, or secure, and does not warrant or guarantee any event, organizer, listing, or the conduct of any user.
8. Limitation of Liability
DoorSplit is not responsible or liable for the events, tickets, products, campaigns, or content that organizers create, list, or sell through the Service, or for the acts or omissions of any organizer, buyer, donor, or other user. This includes, without limitation, any event that is cancelled, postponed, misrepresented, unsafe, or does not take place as described; any dispute between a buyer or donor and an organizer; and any goods or services sold by an organizer.
To the maximum extent permitted by law, DoorSplit and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, DoorSplit's total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees DoorSplit earned from the transaction(s) giving rise to the claim in the three (3) months before the claim, or (b) one hundred U.S. dollars (US$100).
9. Indemnification
You agree to indemnify, defend, and hold harmless DoorSplit and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your events, listings, campaigns, or offerings; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your infringement of the rights of any third party.
10. Intellectual Property
The Service, including its software, design, and branding, is owned by DoorSplit and protected by intellectual property laws. You retain ownership of the content you submit (such as event details and images) and grant DoorSplit a non-exclusive license to host and display that content as needed to operate the Service. You represent that you have the rights to any content you submit.
11. Suspension & Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service, remove content, or withhold payouts if you violate these Terms, if required by law or our payment providers, or to protect the Service or its users. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
12. Changes to These Terms
We may update these Terms from time to time. We will indicate material changes by updating the effective date at the top of this page. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the United States and the State in which DoorSplit is established, without regard to conflict of law principles. The Service is operated from the United States.
